“Consent and connivance” implies both knowledge of the material facts and taking a decision based on that knowledge. “Neglect” does not necessarily require knowledge of the facts giving rise to the offence. It can include a situation where the director should have been aware of those facts and was not. Ignorance of the law is no defence.
